Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of Contract Compass, a software-as-a-service platform provided by Automate Capture, LLC ("we," "our," or "us"). By accessing or using Contract Compass, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
Service Description
Contract Compass is a federal contract management system designed to help organizations manage:
- Employee assignments and billing rates
- Contract tracking and financial management
- Invoice generation and financial reporting
- Project pipeline and opportunity tracking
Account Registration and Security
To use Contract Compass, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities under your account
You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.
Acceptable Use Policy
You agree not to:
- Use the service for any illegal purpose or in violation of any laws or regulations
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of the service
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems to access the service without our written permission
- Share your account credentials with unauthorized third parties
- Upload or transmit viruses, malware, or other malicious code
- Violate any export control or sanctions regulations
Your Data
You retain all ownership rights to the data you submit to Contract Compass ("Customer Data"). By using our service, you grant us the right to:
- Store, process, and transmit Customer Data to provide the service
- Create anonymized, aggregated data for service improvement and analytics
- Access Customer Data to provide technical support or resolve issues
You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it. You represent and warrant that you have all necessary rights and consents to submit Customer Data to our service.
Intellectual Property
Contract Compass, including all software, designs, text, graphics, and other content, is owned by Automate Capture, LLC and is protected by U.S. and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the service solely for your internal business purposes.
Payment and Billing
If you subscribe to a paid plan:
- Fees are billed in advance on a recurring basis (monthly or annually)
- All fees are non-refundable except as required by law
- You authorize us to charge your payment method for all applicable fees
- You are responsible for all taxes associated with your use of the service
- We reserve the right to change our fees with 30 days' notice
- Failure to pay may result in suspension or termination of your account
Service Availability and Support
We strive to maintain high availability of Contract Compass but do not guarantee uninterrupted access. The service may be unavailable during scheduled maintenance, updates, or due to circumstances beyond our reasonable control. We will provide reasonable notice of scheduled maintenance when possible.
Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the service will be error-free, secure, or free from viruses or other harmful components. You are solely responsible for implementing appropriate backup and disaster recovery procedures for your data.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOMATE CAPTURE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Indemnification
You agree to indemnify, defend, and hold harmless Automate Capture, LLC and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service, violation of these Terms, or infringement of any third-party rights.
Termination
Either party may terminate this agreement:
- You may cancel your account at any time through the platform settings
- We may suspend or terminate your access for violation of these Terms
- We may terminate with 30 days' notice for any reason
Upon termination, your right to access the service will immediately cease. We will retain your data according to our Privacy Policy and applicable legal requirements. You may request a data export within 30 days of termination.
Export Compliance
You agree to comply with all applicable export and import control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). You represent that you are not located in, under the control of, or a national or resident of any embargoed country or on any U.S. government list of prohibited or restricted parties.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Automate Capture, LLC is registered, without regard to conflict of law principles.
Any disputes arising out of or related to these Terms or the service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality obligations.
Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the platform at least 30 days before the effective date. Your continued use of the service after changes become effective constitutes acceptance of the modified Terms.
Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Automate Capture, LLC regarding the service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
